1. Organizer Role

The pop-up shops are organized independently by partners. Kakao Mischa provides products and, if necessary, supporting materials for this purpose, but is not the organizer, co-host, or legally liable party.

2. Sales on Commission

Products are provided on a commission basis, meaning unsold, undamaged goods can be returned.

Organizers receive a 30% commission on all products, with the exception of the 30g cacao thalers, for which organizers receive a 20% commission.

Orders are placed individually via email to sales@kakaomischa.de and are regularly recorded in the system; the invoice remains open until final settlement.

After the pop-up shop concludes, an invoice will be issued, and payment for sold products will be due within 7 days. In the event of payment default, we reserve the right to charge default interest at the statutory rate (Section 288 BGB) as well as late payment fees. If there are discrepancies in the invoice, the organizer is obligated to notify us in writing within 7 days of receiving the invoice. After this period, the invoice will be considered accepted.

3. Responsibility for Returns & Condition of Goods

Organizers are responsible for the careful storage and return of unsold products. Damaged or non-returnable products (e.g., melted cacao, opened packaging, damaged labels) will not be credited and will be charged in full.

Returns are at the organizer's own expense and responsibility.

Resale of products outside the agreed pop-up shop, especially via online shops or to resellers, is not permitted.

4. Loans & Sponsoring

Kakao Mischa provides free promotional materials in the form of affirmation cards, posters, and flyers.

Up to three roll-ups can be borrowed from Kakao Mischa. These must be picked up independently and returned within 7 days after the event. If shipping is required, the organizers bear the costs. In case of damage or retention, a fee of €50.00 per roll-up will be charged.

Organizers retain the proceeds from sold beverages.

5. Brand Usage & Communication

Pop-up shops may be named "Kakao Mischa Pop-Up Shop". However, it must be clearly recognizable that the event is not organized by Kakao Mischa itself, but in cooperation.

Organizers will receive access to our Brand Kit. No further promotional material will be provided by Kakao Mischa.

Kakao Mischa reserves the right to promote pop-up shops through its own channels, e.g., Instagram stories or newsletter entries. This will only happen after prior consultation and complete submission of all information (location, time, host, visual material, etc.).

The primary responsibility for promoting the event lies with the organizers themselves.

6. Partner Profile & Suitability

Organizers should ideally be part of the Kakao Mischa community – e.g., as ambassadors or experienced users. The selection of organizers is made by the Kakao Mischa team.

7. Brand Safety

Collaborations with other brands or providers must be reported in advance and approved by Kakao Mischa. Kakao Mischa reserves the right to veto if the brand or value context is not coherent.

8. Duration of Shop Operation

The period during which a pop-up shop is active will be agreed upon individually – typically ranging from single days to a maximum of 3 consecutive days. An extension or repetition is possible after consultation and requires a new agreement.

9. Events & Supporting Program

Workshops, gatherings, or accompanying events may take place within the framework of the pop-up shop, provided they align with Kakao Mischa's values. The supporting program is freely designable by the organizers.

10. Disclaimer & Legal Responsibility

Organizers are solely responsible for compliance with all applicable legal provisions (e.g., hygiene regulations, serving rules, VAT obligations, business registration).

Kakao Mischa assumes no liability for damages, accidents, losses, or legal consequences in connection with the pop-up shop.

Organizers shall indemnify Kakao Mischa from all third-party claims arising in connection with the operation of the pop-up shop.

11. Cancellation & Withdrawal

Binding participation is confirmed upon order confirmation.

In the event of a short-notice cancellation (less than 7 days before the start of the event), Kakao Mischa reserves the right to charge incurred expenses of €75.

Alternatively, the order can be converted into a regular customer order upon request.
